These Terms of Service ("Terms") govern your use of UpriseOS (upriseos.com) and all related services provided by Elysium Spark LLC (d.b.a. Revolution Labs) ("we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you are accessing the Services from the European Economic Area (EEA) or United Kingdom, additional rights described in Section 13 apply to you.

1. Acceptance of Terms

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Services. We may update these Terms at any time with notice; continued use after the effective date of changes constitutes acceptance.

2. Services

UpriseOS provides services as described on the website at upriseos.com.

3. Account Registration and Security

3.1 Account Creation

To access certain Services, you may need to create an account. You agree to provide accurate, current, and complete information and to keep it up to date.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized use via the Contact link in the footer.

4. AI-Powered Services

4.1 Use of Third-Party AI Providers

Our Services may utilize third-party AI and large language model (LLM) providers, including Anthropic, OpenAI, Google, and others (collectively "AI Providers"). Your use of AI-powered features is also subject to those providers' terms and acceptable use policies.

4.2 No Training on Your Data

We configure AI Providers to opt out of using your inputs or outputs for model training where that option is contractually available. Where providers offer Zero Data Retention (ZDR) or equivalent policies, we enable them. Your data is processed only to deliver the Services to you.

4.3 AI Output Accuracy — Important Disclaimer

AI-generated outputs are not guaranteed to be accurate, complete, current, or free from error, bias, or hallucination. You are solely responsible for reviewing, verifying, and independently evaluating any AI-generated content before relying on it or using it for any purpose. AI outputs do not constitute professional legal, financial, medical, investment, or other licensed professional advice. Do not make significant decisions based solely on AI-generated content without independent verification.

4.4 Automated Processing Transparency

Where our Services use automated processing or AI to analyze information and produce outputs that may be relevant to decisions you make, we disclose this in our service descriptions. You retain the right to seek human review of any AI-generated output that materially affects you. This section is provided in compliance with applicable laws including the EU AI Act and CCPA regulations effective January 1, 2026.

4.5 EU AI Act Compliance

We do not deploy AI systems for purposes prohibited under the EU AI Act, including social scoring, real-time biometric surveillance, or manipulative subliminal techniques. Our AI services are general-purpose productivity and decision-support tools. AI-generated content may be labeled or disclosed where required by applicable law.

4.6 Third-Party Provider Limitations

We are not responsible for actions, errors, outages, policy changes, or security incidents at third-party AI Providers. Our liability for issues originating at third-party providers is limited to the extent permitted by our agreements with those providers.

5. Acceptable Use

You agree not to:

  • Use the Services for any illegal or unauthorized purpose or in violation of any applicable law
  • Violate the intellectual property rights of any person or entity
  • Transmit malicious code, viruses, or otherwise harmful content
  • Attempt unauthorized access to our systems, networks, or data
  • Use the Services to harass, abuse, harm, or discriminate against any person
  • Generate content that is unlawful, fraudulent, defamatory, or violates any person's rights
  • Circumvent technical measures designed to protect the Services or other users
  • Reverse engineer, decompile, or attempt to extract source code from the Services
  • Resell, sublicense, or redistribute the Services without our express written consent
  • Use the Services to train competing AI models or for automated data scraping at scale without authorization

You are solely responsible for all content you input and all uses you make of outputs generated through the Services.

6. Intellectual Property

6.1 Our Property

All Services, software, designs, trademarks, trade names, and original content we produce are owned by Elysium Spark LLC or our licensors and protected by applicable intellectual property laws.

6.2 Your Input Content

You retain all ownership rights in content you submit as inputs. By submitting content, you grant us a limited, non-exclusive, royalty-free license to process that content solely to provide the Services to you. We do not claim ownership of your inputs.

6.3 AI-Generated Outputs

You generally retain rights in outputs generated using your inputs, to the extent permitted by applicable law and the terms of the underlying AI Providers. Ownership of AI-generated content is an evolving area of law. We make no warranty regarding the copyright status, originality, or freedom from third-party claims of any AI-generated output. You are responsible for ensuring your use of AI outputs complies with applicable law.

7. Payment and Billing

7.1 Fees

Where applicable, you agree to pay all fees for selected plans or services. All fees are stated in USD unless otherwise noted. Fees are non-refundable unless stated otherwise at point of purchase or required by applicable consumer law.

7.2 Subscriptions

Subscription fees are billed in advance on a recurring basis. You authorize us to charge your payment method for all applicable fees. We will provide at least 30 days' notice before increasing fees for existing subscriptions. Failure to pay may result in service suspension or termination.

7.3 Refunds

Refund eligibility varies by service and is described at the point of purchase. Where no specific refund policy is stated, refunds are handled on a case-by-case basis. Nothing in these Terms limits statutory consumer rights to refunds that may apply in your jurisdiction.

8. Indemnification

You agree to indemnify, defend, and hold harmless Elysium Spark LLC, its affiliates, officers, directors, employees, and agents from any third-party claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of or inability to use the Services; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) your use of AI-generated outputs in violation of applicable law.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, GOODWILL, OR COST OF SUBSTITUTE SERVICES
  • OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS (USD $100)
  • WE ARE NOT LIABLE FOR DAMAGES CAUSED BY THIRD-PARTY AI PROVIDERS, PAYMENT PROCESSORS, OR OTHER THIRD-PARTY SERVICES
  • WE ARE NOT LIABLE FOR ERRORS, INACCURACIES, HALLUCINATIONS, OR OMISSIONS IN AI-GENERATED CONTENT
  • WE ARE NOT LIABLE FOR YOUR RELIANCE ON AI-GENERATED OUTPUTS WITHOUT INDEPENDENT VERIFICATION

For EEA/UK consumers: Nothing in this section limits liability that cannot be excluded under applicable consumer protection law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation. Statutory consumer rights are not affected by these Terms.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM HARMFUL COMPONENTS. AI-GENERATED OUTPUTS ARE EXPRESSLY EXCLUDED FROM ANY WARRANTY.

11. Third-Party Services and Links

Our Services may reference or integrate with third-party websites, tools, or services. We are not responsible for the content, availability, privacy practices, or terms of third-party services. Linking or integration does not constitute our endorsement.

12. Service Modifications and Termination

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with reasonable notice where practicable. We may terminate or suspend your access immediately for material violation of these Terms, non-payment, fraudulent or illegal activity, or conduct harmful to other users or our systems. Upon termination, your right to use the Services ceases and we may delete your account and data in accordance with our data retention policies.

13. EEA / UK Users — Additional Rights

If you are located in the EEA or United Kingdom, you have additional rights under the GDPR and UK GDPR. These Terms are not intended to limit those rights. In particular:

  • You have the right to object to processing based on legitimate interests
  • You have rights regarding automated decision-making and profiling under GDPR Article 22
  • The limitation of liability in Section 10 does not apply where prohibited by applicable consumer law
  • Disputes may be submitted to your local consumer protection authority or supervisory authority

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the State of Louisiana, USA, without regard to conflict of law principles, except where mandatory consumer protection law in your jurisdiction requires otherwise.

14.2 Arbitration (US Users)

For users located in the United States, disputes arising under these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, conducted in New Orleans, Louisiana, except for claims that qualify for small claims court.

14.3 Class Action Waiver (US Users)

US users agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration, to the extent permitted by applicable law.

15. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Elysium Spark LLC regarding the Services.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
  • Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
  • Assignment: You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all our assets, with notice to you.
  • Force Majeure: We are not liable for failures due to causes beyond our reasonable control, including natural disasters, internet outages, or third-party service failures.
